Introduction
1.1 These Terms of Use (together with the documents referred to in it) (Terms of Use) apply between Global Bridge Ltd (company number: 08736207) whose registered office is situated at Clavering House, Clavering Place, Newcastle upon Tyne, NE1 3NG (we or us) and you, regarding the terms of use of our website, https://new.myglobalbridge.com (Platform), whether as a guest or as a registered user. Use of the Platform includes accessing, browsing and/or registering to use the Platform.
1.2 Please read these Terms of Use carefully before you start to use the Platform, as these will apply to your use of the Platform. We recommend that you print a copy of this for future reference.
1.3 By using the Platform, you confirm that you accept these Terms of Use and that you agree to comply with them.
1.4 If you do not agree to these Terms of Use, you must not use the Platform.
2. Other applicable terms
2.1 These Terms of Use refer to the following additional terms, which also apply to your use of the Platform:
2.1.2 our Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you provide to us; by using the Platform, you consent to such processing and you warrant that all data provided by you is accurate;
2.1.3 our Acceptable Use Policy, which sets out the permitted uses and prohibited uses of the Platform;
2.1.4 our Cookies Policy, which sets out information about the cookies on the Platform.
2.2 We recommend that you carefully read all of the applicable terms and policies before you start to use the Platform.
3. Changes to these terms
3.1 We may revise these Terms of Use at any time by amending this page.
3.2 Please check this page from time to time to take notice of any changes we may have made, as they are binding on you.
4. Changes to the Platform
4.1 We may update the Platform from time to time and may change the content at any time. However, please note that any of the content on the Platform may be out of date at any given time, and we are under no obligation to update it.
4.2 We do not guarantee that the Platform, or any content on it, will be free from errors or omissions.
5. Use of the Platform
5.1 The Platform may be used by:
5.1.1 Persons (“Users”) being individuals of any age who may be searching for Educational Establishments that they wish to attend or for potential employment. Each User will display a profile on the Platform. A User's profile will demonstrate their talents and achievements.
5.1.2 Parents or Guardians of Users;
5.1.3 Educational Establishments (“Members”) and their staff, to promote their institution and courses to potential students.
5.1.4 Associations (“Providers”), set up to assist Users with their careers and maximise their potential.
5.1.5 Employers (“Providers”), to showcase their organisation and display their opportunities to people who have the skills they require.
5.2 Our Members and Providers are required to enter into an organisational agreement with us that further governs their use of the Platform and the use of their nominated staff, colleague and student users (amongst other terms). However, for the purposes of this Terms of Use, it is agreed that:
5.2.1 the Platform is not a social media web Platform;
5.2.2 registered users with profiles cannot communicate with each other through the Platform nor can they see each other's profiles;
5.2.3 information a Provider may seek about Users will be anonymised and must be for its own use and relevant to the purposes set out in Clause 5.1 above;
5.2.4 no content on the Platform except your own shall be used for commercial purposes. An exception may be made to use content generated by Global Bridge Ltd and myglobalbridge with prior written agreement;
5.2.5 a Provider/Member is prohibited from using any software designed to be used for purposes inconsistent with these Terms of Use; and
5.2.6 a breach of these Terms of Use may result in the termination of a Provider's/Member’s oranisational agreement with us and a referral being made to the Information Commissioner's Office.
6. Accessing the Platform
6.1 We will enter into separate contractual arrangements with your Member/Provider organisation in respect of fees for using the Platform (if any).
Please note that your broadband or internet access provider as well as your mobile provider, if using a mobile device for access, may charge you for access depending on the contract you may have with your provider or providers.
6.2 We do not guarantee that the Platform or any content on it will always be available or be uninterrupted. Access to the Platform is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the Platform without notice. We will not be liable to you if for any reason the Platform is unavailable at any time or for any period. If you have entered into a contract with us for the provision of services please see contract Section 5 for more information.
6.3 You are responsible for making all arrangements necessary for you to have access to the Platform.
6.4 You are also responsible for ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use and other applicable terms and conditions, and that they comply with them.
6.5 We reserve the right to suspend, withdraw or discontinue your access to the Platform at any time and for any reason.
7. Your account and password
7.1 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
7.2 We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.
7.3 If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at hello@myglobalbridge.com
7.4 You have the ability to download a .DOC version of your profile. Users aged 16 and above may copy their unique globalbridge profile URL and share this.
8. Intellectual property rights
8.1 We are the owner or the licensee of or have had assigned to us all intellectual property rights in the Platform, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. We shall only publish material on the Platform where it complies with intellectual property law.
8.2 Our status (and that of any identified contributors) as the authors of content on the Platform must always be acknowledged.
8.3 If you act in breach of these Terms of Use, your right to use the Platform will cease immediately and you must, at our option, return or destroy any copies of materials you have made.
8.4 By providing, uploading, contributing, disseminating or otherwise making content or information available on the Platform, you:
8.4.1 (to the extent permissible by law) permit us to use that content or information;
8.4.2 warrant that at the time of contributing the content or information you are the sole owner of the intellectual property rights in that content or information or have the authority of the owner to so contribute; and
8.4.3 warrant that you have the consents relevant and applicable to any third party featured or appearing (or whose trademarks and other intellectual property may appear) in that content or information and agree to indemnify us from and against any claim by a third party that results from your failure to do so.
8.5 We do not accept any liability for content or information that you choose to share through the Platform, including its loss, theft or misappropriation by other users. Content or information is shared at your own risk, and you should also note that disclosure of such content may affect your ability to claim, register or assert any intellectual property rights in relation to that content or information at a later date. Should you wish to share your Platform profile externally (whether on other webPlatforms such as (without limitation) Facebook or otherwise and see 7.4 for age restrictions), we do not accept any liability for this and this is done at your risk (for the avoidance of doubt, you are not permitted to share anyone's profile other than your own in this way).
8.6 We will not be responsible, or liable to any third party, for the content or accuracy of any content or information posted by you or any other user of the Platform. You warrant that you will ensure that all information posted by you (or, if you are school, posted by your students) onto the Platform is accurate, complete and up to date and not misleading (and will be maintained this way throughout the duration of your usage of the Platform). We do not accept any liability, howsoever arising, for any content or information on the Platform that has not been generated and contributed by us or for any loss, direct or indirect and of whatever nature, that you may suffer as a result of that content or information.
9. No reliance on information
9.1 Although we make reasonable efforts to update the information on the Platform, we make no representations, warranties or guarantees, whether express or implied that the content on the Platform is accurate, complete or up-to-date.
10. Limitation of our liability
10.1 Nothing in these Terms of Use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
10.2 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Platform or any content on it, whether express or implied.
10.3 We are not liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
10.3.1 use of, or inability to use, the Platform; or
10.3.2 use of or reliance on any content displayed on the Platform.
10.4 If you are a Provider, please note that in particular, we will not be liable for:
10.4.1 loss of profits, sales, business, or revenue;
10.4.2 business interruption;
10.4.3 loss of anticipated savings;
10.4.4 loss of business opportunity, goodwill or reputation; or
10.4.5 any indirect or consequential loss or damage.
10.5 If you are a Provider, please note that we only provide the Platform for domestic, private and/or educational use. You agree not to use the Platform for any commercial purposes.
10.6 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, smart phone or other mobile device, computer programs, data or other proprietary material due to your use of the Platform or to your downloading of any content on it, or on any web Platform or other resources linked to it.
10.7 We assume no responsibility for the content of web Platforms or other resources linked to or accessible via the Platform. Such links should not be interpreted as an endorsement by us. We will not be liable for any loss or damage that may arise from your use of them.
11. Uploading content to the Platform
11.1 Whenever you make use of a feature that allows you to upload content to the Platform you must comply with the content standards set out in our Acceptable Use Policy.
11.2 You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
11.3 Any content you upload to the Platform will be considered non-confidential. You will retain all of your ownership rights in your content. We have the right to use, copy, distribute and disclose to third parties any such Provider/MEMBER content in accordance with these terms of use including any terms and conditions set out in an agreement with us and the additional terms referred to in Paragraph 2.1 above.
11.4 If you are aged over 18 we also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Platform constitutes a violation of their intellectual property rights, or of their right to privacy. If you are under 18 we will identify your school or college who will then be able to act as an intermediary on your behalf.
11.5 We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of the Platform.
11.6 We have the right to remove any posting you make on the Platform if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy.
11.7 The views expressed by other users on the Platform do not represent our views or values.
12. Viruses
12.1 We cannot guarantee that the Platform will be secure or free from bugs or viruses.
12.2 You are responsible for configuring your information technology, computer programmes and platform in order to access the Platform. You should use your own virus protection software.
12.3 You must not misuse the Platform by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Platform, the server on which the Platform is stored, or any server, computer or database connected to the Platform. You must not attack the Platform via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Platform will cease immediately.
13. Third party links and references in the Platform
13.1 Where the Platform contains links to other Platforms and resources provided by third parties, these links are provided for your information only.
13.2 We have no control over the contents of those Platforms or resources.
14. Applicable laws
14.1 If you are a consumer, please note that these Terms of Use (together with the documents referred to in it), their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.
14.2 If you are a business, these Terms of Use (together with the documents referred to in it), their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
